These Terms of Service (“Terms”) govern your access to and use of the website at webuildpipe.com and any related products, services, and content provided by We Build Pipe (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.


1. Overview of the Services

We Build Pipe (“We Build Pipe,” “we,” “us,” or “our”) operates an invite‑only talent marketplace that allows recruiting agencies and hiring teams (“Agency Users”) to access a curated bench of pre‑screened sales talent (“Candidates”), including SDRs and AEs, via subscription.

Agency Users subscribe to view, search, and filter detailed Candidate profiles, request introductions, and manage hiring workflows.

We may update, improve, or modify features of the Services from time to time at our discretion.


2. Eligibility and Accounts

  • You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services.
  • If you use the Services on behalf of an agency, company, or other entity, you represent and warrant that you are authorized to accept these Terms on its behalf and that the entity agrees to be bound by these Terms.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must promptly notify us at admin@webuildpipe.com if you suspect any unauthorized access or use of your account.

3. Subscriptions, Billing, and No‑Refund Policy

3.1 Subscription Model and Access

  • The core Agency access to the platform is provided via recurring subscription plans (“Subscription”) that unlock unlimited access to our curated talent pool, search and filter tools, and Candidate profile viewing.
  • Subscription details, including pricing, inclusions, and plan limits, are described on our pricing page or in your specific order form or agreement.
  • Unless otherwise stated in writing, Subscriptions renew automatically at the end of each billing period (for example, monthly) at the then‑current rate until cancelled.

3.2 Recurring Charges and Authorization

  • By starting a Subscription, you authorize We Build Pipe and our payment processors to charge your selected payment method for:
  • Recurring Subscription fees, and
  • Any applicable taxes and charges.
  • Charges will occur at the start of each billing period until you cancel your Subscription in accordance with Section 3.4.

3.3 Strict No‑Refund Policy

  • All fees and charges are non‑refundable. This includes, without limitation, Subscription fees, setup fees (if any), and any other charges related to your use of the Services, except where required by applicable law.
  • You will not be entitled to a refund or credit if:
  • You cancel your Subscription before the end of the billing period.
  • You choose not to use all or any portion of the Services during a billing period.
  • You are dissatisfied with the number or type of Candidates available, hiring outcomes, or any other results.
  • We may, in our sole discretion, offer a courtesy credit or adjustment in specific cases; such actions are voluntary and do not constitute a waiver of our no‑refund policy or create any obligation to issue credits or adjustments in the future.

3.4 Cancellation

  • You may cancel your Subscription at any time by following the cancellation instructions within your account (if available) or by contacting us at admin@webuildpipe.com.
  • Cancellations take effect at the end of the then‑current billing period. You will continue to have access to the Services until that period ends.
  • Cancelling a Subscription stops future recurring charges but does not result in any refund of amounts already paid.

3.5 Payment Issues

  • You agree to provide current, complete, and accurate billing and payment information and to keep it updated.
  • If a payment fails (e.g., due to card expiration, insufficient funds, or other issues), we may:
  • Suspend or restrict your access to the Services, and/or
  • Terminate your Subscription if payment is not promptly resolved.
  • You are responsible for all applicable taxes and governmental charges associated with your Subscription, excluding our income taxes.

4. Use of the Services

You agree to use the Services only for legitimate recruiting, hiring, and related business purposes and in compliance with these Terms and applicable law. You agree that you will not:

  • Use the Services for any unlawful, fraudulent, or unauthorized purpose.
  • Misrepresent your identity, role, or relationship to any agency, company, or Candidate.
  • Scrape, harvest, or systematically export large volumes of data from the platform, including Candidate information, except as expressly permitted.
  • Attempt to access or search the Services by any means (automated or otherwise) other than our publicly supported interfaces.
  • Interfere with or disrupt the integrity, security, or performance of the Services.
  • Use the Services to send unsolicited or harassing communications.

We may monitor use of the Services to detect and prevent abuse, fraud, or violations of these Terms.


5. Candidate and Agency Content

5.1 User Content

“User Content” includes any information, data, text, images, or materials that users submit or make available through the Services, such as:

  • Candidate profiles, resumes, performance metrics, locations, skills, and work histories.
  • Agency or employer company profiles, role descriptions, and hiring requirements.
  • Messages, feedback, and communications exchanged through the platform.

5.2 License to We Build Pipe

By submitting User Content, you grant We Build Pipe a worldwide, non‑exclusive, royalty‑free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content as necessary to:

  • Operate, maintain, and improve the Services.
  • Provide Candidate visibility to Agency Users and facilitate matching and hiring.
  • Enforce these Terms and comply with legal obligations.

You represent and warrant that:

  • You have all rights, licenses, consents, and permissions necessary to submit the User Content and grant the above license.
  • Your User Content does not infringe, misappropriate, or violate any third‑party rights or any law.

5.3 Responsibility and Removal

You are solely responsible for your User Content and for any consequences of submitting it.

We do not guarantee the accuracy or completeness of any User Content and are not responsible for any reliance placed upon it by you or others.

We reserve the right, but are not obligated, to remove or modify any User Content that we believe may violate these Terms, our policies, or applicable law, or that we otherwise consider objectionable.


6. No Guarantee of Hiring Outcomes

The Services provide access to a curated pool of pre‑screened Candidates and tools for Agencies to discover and connect with them.

However:

  • We do not act as an employer of Candidates or as a party to employment or contractor agreements between Agencies and Candidates.
  • We do not guarantee that Agencies will hire any Candidates, or that any Candidate will be suitable for a particular position.
  • We are not responsible for background checks, reference verifications, or compliance with employment laws beyond what we expressly state as being performed on the Site.

Any hiring decisions and resulting relationships or contracts are solely between the Agency and the Candidate.


7. Intellectual Property

The Services, including the Site design and layout, text, graphics, logos, icons, software, and other content (excluding User Content), are owned by or licensed to We Build Pipe and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your internal business purposes. You may not:

  • Copy, modify, distribute, sell, or lease any part of the Services.
  • Reverse engineer or attempt to extract the source code, except to the extent that such restrictions are prohibited by law.
  • Use We Build Pipe’s trademarks, service marks, or logos without our prior written consent.

8. Third‑Party Tools and Links

The Services may integrate with, or link to, third‑party tools, sites, or services (for example, scheduling tools, communication platforms, analytics, or CRM tools).

We do not control and are not responsible for third‑party services, their content, or their practices. Your use of third‑party services is governed by their own terms and privacy policies. We are not liable for any damages or losses arising from your use of third‑party services.


9. Disclaimers

To the maximum extent permitted by law:

  • The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory.
  • We expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement.
  • We do not warrant that the Services will be uninterrupted, secure, or error‑free, that defects will be corrected, or that the Services are free of viruses or other harmful components.
  • We do not guarantee any specific outcomes or results from using the Services, including the number or quality of Candidates, or any hiring, revenue, or performance outcomes.

Some jurisdictions do not allow the exclusion of certain warranties, so some disclaimers may not apply to you.


10. Limitation of Liability

To the maximum extent permitted by law:

  • We Build Pipe and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use or inability to use the Services, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of:
  • The amount you have paid to us for the Services in the six (6) months preceding the event giving rise to the claim, or
  • One hundred U.S. dollars (USD $100).

These limitations apply to all causes of action, whether based on contract, tort (including negligence), strict liability, or any other legal theory.


11. Indemnification

You agree to indemnify, defend, and hold harmless We Build Pipe and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of or access to the Services.
  • Your violation of these Terms.
  • Your User Content.
  • Your violation of any rights of another person or entity or of any applicable law.

12. Termination and Suspension

We may suspend or terminate your access to the Services (in whole or in part) at any time, with or without notice, including if we believe that:

  • You have violated these Terms or any applicable law.
  • Your use poses a security or other risk to the Services or to other users.
  • Required payments are not made when due.

You may stop using the Services at any time and may cancel your Subscription as described in Section 3.4.

Upon termination or suspension, your right to use the Services will cease immediately, but provisions that by their nature should survive (including, without limitation, Sections 3, 5, 6, 7, 9, 10, 11, 12, and 13) will remain in effect.

Termination or suspension does not create any right to a refund, consistent with our no‑refund policy.


13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of [insert state], without regard to its conflict‑of‑laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in [insert city and state], before a single arbitrator, in accordance with the rules of the American Arbitration Association (AAA) or a similar arbitration body, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You and We Build Pipe agree to bring disputes only in your individual capacities and not as plaintiffs or class members in any purported class or representative proceeding.


14. Changes to These Terms

We may modify these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page and, where appropriate, provide additional notice (for example, by email or within the Services).

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and cancel any active Subscription.


15. Miscellaneous

  • Entire Agreement: These Terms, together with any order forms or written agreements between you and We Build Pipe and our Privacy Policy, constitute the entire agreement between you and us regarding the Services.
  • Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  • Independent Contractors: The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
